Portal Terms of Use

These terms govern the relationship between I-I Verwaltungs GmbH & Co. KG, Max-Weber-Platz 1, 81675 München (the “Operator”) and businesses that wish to present their products and services on the SYSTEM.HAUS-Portal (the “Portal”) to prospects and customers (the “Cooperation Partner”). Prospects can contact Cooperation Partners via enquiries. These terms and the individually concluded cooperation agreement are authoritative; deviating terms of the Cooperation Partner become part of the contract only if the Operator expressly agrees.
1. Subject of the contract
The Operator provides the Cooperation Partner with the framework and services on the Portal, in particular presentation of the partner and its products and services, an interest-filtered search, and the brokerage of user contacts. The Operator enables participation within the available technical and operational means and reserves the right to develop the services further, make technical changes, or continue them under a different name or URL; these terms then continue to apply.
2. Remuneration and payment
The remuneration owed by the Cooperation Partner results from the cooperation agreement. All amounts are net plus statutory taxes. Unless agreed otherwise, invoicing is in advance; the Cooperation Partner agrees to receive invoices by email as PDF.
3. Obligations of the Cooperation Partner
The Cooperation Partner supports performance through reasonable cooperation and provides the required information and content (e.g. images, texts, logos) in good time. It warrants that its information is complete and truthful and regularly reviews the information published about it (in particular prices, company, offers, contact details) for accuracy, completeness and currency; defects must be corrected or reported without undue delay.
4. Grant of rights
The Cooperation Partner warrants that it holds the necessary rights to the content provided and grants the Operator a non-exclusive, free-of-charge right of use limited to the contract term (including proper wind-down) for presentation on the Portal and in associated advertising. The Operator may reasonably edit the content for this purpose. A claim to a specific form or channel of presentation exists only where contractually agreed. If content provided by the Cooperation Partner infringes third-party rights, it indemnifies the Operator against resulting claims for which it is responsible.
5. Term and termination
Unless individually agreed otherwise, the term is initially one year and extends by twelve months each time absent timely termination. Termination requires text form. The right to extraordinary termination for good cause remains unaffected. After the contract ends, the Operator is entitled to remove the Cooperation Partner's content from the Portal.
6. Search engine marketing
In its own paid search advertising the Cooperation Partner does not use the Portal's domain or brand or confusingly similar terms as keywords. Use of generic terms (e.g. “house building”, “prefab house”) remains permitted.
7. Liability
The Operator is liable without limitation for intent and gross negligence, for injury to life, body or health, and under product liability law. For slightly negligent breach of essential contractual obligations (cardinal obligations), liability is limited to the typical, foreseeable damage; otherwise liability is excluded. The Operator is not liable for the availability, accuracy or legality of linked third-party content.
8. Data protection
Details on the processing of personal data are set out in our privacy policy. The Cooperation Partner undertakes to process personal data of prospects and customers obtained via the Portal confidentially, lawfully and only for the purpose of the respective enquiry or contract initiation, and to secure it against loss and unauthorised access; unsolicited advertising (e.g. by phone, post or email) is not permitted without an appropriate legal basis. These obligations survive termination.
9. Confidentiality
The parties treat confidential information — in particular the cooperation agreement, the remuneration and side agreements — as confidential, including after the contract ends. Disclosure to authorities where legally required is excepted.
10. Final provisions, jurisdiction
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is, where permitted, München. Amendments and side agreements require text form. Should individual provisions be invalid, the validity of the remainder is unaffected.
